Terms of Service

Please read these Terms carefully before using ZeaData. They govern your access to and use of our enterprise data intelligence platform.

1. Acceptance of Terms

By accessing or using the ZeaData platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation. If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including administrators, members, and any other individuals who access the platform under a licensed organisation account.

2. Description of Service

ZeaData provides an AI-powered enterprise data intelligence platform that includes natural language to SQL querying, data catalog, data lineage, data quality monitoring, governance scoring, dashboards, workflow automation, and AI workflow building capabilities ("Platform Features").

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. We will not be liable to you or any third party for any such changes.

3. Account Registration and Security

To access the Service, you must create an account and provide accurate, complete information. You are responsible for:

•Maintaining the confidentiality of your login credentials.

•All activities that occur under your account.

•Promptly notifying us of any unauthorised use of your account at security@zeadata.io.

•Ensuring that your use of the Service complies with all applicable laws and regulations.

Accounts may not be shared across multiple individuals. Each user must have their own credentials. Organisation administrators are responsible for managing user access within their tenant.

4. Subscription, Fees, and Payment

Access to the Service is provided on a subscription basis. Fees are as set out in your Order Form or as displayed on our pricing page. Unless otherwise agreed:

•Subscriptions are billed annually or monthly in advance.

•All fees are non-refundable except as required by law or as explicitly stated in your Order Form.

•We may modify pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of revised pricing.

•You are responsible for all taxes, duties, and levies imposed by any authority in connection with your use of the Service.

Failure to pay fees may result in suspension or termination of your account.

5. Your Data and Data Ownership

You retain full ownership of all data, content, and information you upload, connect, or process through the Service ("Your Data"). By using the Service, you grant ZeaData a limited, non-exclusive licence to access and process Your Data solely to provide the Service to you.

ZeaData does not claim ownership of Your Data and will not use it to train general-purpose AI models or share it with third parties except as required to operate the Service or as described in our Privacy Policy.

You are solely responsible for ensuring that Your Data does not violate any applicable laws, third-party rights, or the terms of any data source agreements.

6. Acceptable Use

You agree not to use the Service to:

•Violate any applicable local, state, national, or international law or regulation.

•Upload, transmit, or process data that infringes intellectual property rights, contains malware, or facilitates illegal activity.

•Attempt to gain unauthorised access to any part of the Service or other users' data.

•Reverse engineer, decompile, or disassemble any component of the Service.

•Use the Service to build a competing product or service.

•Overload, disrupt, or degrade the performance of the Service through automated abuse or excessive API calls.

•Resell, sublicence, or otherwise transfer access to the Service without prior written consent.

We reserve the right to suspend or terminate accounts found in violation of these restrictions without prior notice.

7. Intellectual Property

The Service and all its components — including software, algorithms, designs, interfaces, documentation, and trademarks — are the exclusive intellectual property of ZeaData Inc. and are protected by applicable intellectual property laws.

Nothing in these Terms transfers any ownership of ZeaData's intellectual property to you. You receive only a limited, non-exclusive, non-transferable licence to use the Service during the term of your subscription.

Any feedback, suggestions, or ideas you provide regarding the Service may be used by ZeaData without obligation or compensation to you.

8. Confidentiality

Each party may have access to confidential information of the other party ("Confidential Information"). Both parties agree to:

•Keep Confidential Information strictly confidential.

•Use Confidential Information only for the purposes of this agreement.

•Not disclose Confidential Information to third parties without prior written consent, except to employees or contractors who need to know it to fulfil obligations under these Terms and are bound by equivalent confidentiality obligations.

This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

9. Warranties and Disclaimers

ZeaData warrants that the Service will perform materially in accordance with its documentation under normal use. To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

•The Service will be uninterrupted, error-free, or completely secure.

•Results obtained from the Service, including AI-generated SQL queries, will be accurate or suitable for any particular purpose.

•All defects will be corrected within a specific timeframe.

10. Limitation of Liability

To the maximum extent permitted by applicable law, ZeaData's total cumulative liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the fees paid by you in the twelve months preceding the claim.

In no event shall ZeaData be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, even if advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of implied warranties or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless ZeaData, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Your Data; (c) your violation of any applicable law or third-party rights; or (d) your negligence or wilful misconduct.

12. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate:

•For convenience, with 30 days' written notice (subject to any minimum subscription commitments in your Order Form).

•Immediately upon written notice if the other party materially breaches these Terms and fails to cure the breach within 15 days of notice.

Upon termination, your right to use the Service ceases immediately. You may export Your Data within 30 days of termination. After that period, ZeaData may permanently delete Your Data in accordance with our data retention policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property or confidentiality matters.

14. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or an in-platform notification. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
